Beta draft — under legal review.

Flockie is in a private beta on a test network. This document is a working draft that is being reviewed by legal counsel and may change before public launch. Details marked “to be confirmed” are still being finalised. It isn’t legal advice.

In short. Flockie is a timed social-discovery experience for adults 18+. You sign in with email or X, open a Drop, and meet a small number of mutually compatible people to talk privately for 72 hours. Opening a Drop funds a reward pool that the Explorer allocates after the experience. That pool is a discretionary participation reward. It is never payment for a reply, a date, a meeting, or any sexual or romantic conduct, and nobody is guaranteed any outcome. The only paid time on Flockie is a short professional networking meeting at a registered Event, booked and held in escrow in the app (section 4, “Events”); it never exists in Dating or Friends.

01About these Terms#

These Terms of Service (“Terms”) are an agreement between you and the Flockie team (“Flockie”, “we”, “us”). We are not yet publishing a registered entity, address or company number; those details remain to be confirmed with counsel before public launch. These Terms cover your use of the Flockie website and web app at findflockie.com, its installable (PWA) version, and every related feature, together called the “platform”.

By creating an account, or by ticking the box during onboarding that says you accept these Terms, you agree to them. You also agree to our Community Standards and Anti-solicitation Policy, which form part of these Terms, and you acknowledge our Privacy Policy. If you don’t agree, don’t use Flockie.

Each document has a version date. When we make a material change, we update the version and ask you to accept the new version before you can keep using the parts of the platform it affects (see section 24).

02Who can use Flockie#

To use Flockie you must:

  • be at least 18 years old, and old enough to form a binding contract where you live;
  • sign in with a verified email address or an X account through Privy;
  • give accurate information about yourself, including your date of birth;
  • have only one Flockie account, and not have had an account removed by us for breaking these Terms;
  • not be barred from using the platform under the laws that apply to you, including sanctions laws, and not be located in a country or region where Flockie is not offered list of available jurisdictions (to be confirmed);
  • not have been convicted of, or be subject to a pending charge for, a sexual offence or an offence involving violence, and not be required to register as a sex offender in any jurisdiction .

Flockie is for adults only, whatever age rating an app store may assign. We block registration when the date of birth you give is under 18, and we remove accounts we reasonably believe belong to anyone under 18.

03Your account and optional X connection#

Signing in. You can sign in with an email one-time passcode or X through Privy, our authentication provider. Flockie does not store your email address or see your X password.

“X connected” is not verification. Profiles show an “X connected” badge. It means the person linked an X account they could sign in to at the time. It does not prove anyone’s legal identity, age, location, or intentions, and we don’t describe it as verification. Use your own judgment with everyone you meet.

Your X handle stays private. Connecting X is optional. Your handle and profile link are hidden from other members until you and the other person Keep each other permanently.

Disconnecting X. You can disconnect X from your profile at any time. Email sign-in and participation in Dating and Friends Drops do not depend on X. Reporting, blocking and deleting your account keep working.

Keeping your account safe. You’re responsible for activity on your account and for keeping your sign-in method and devices secure. Tell us straight away at hello@findflockie.com if you think someone else has accessed your account.

04What a Drop is — and what it isn’t#

A Drop is a time-limited social-discovery experience. When you open one, you are the “Explorer”, and Flockie introduces you to a small set of people (“connections”) whose preferences and yours are mutually compatible and who have chosen to be available for Drops (“participants”).

Each introduction opens a private one-to-one conversation. The 72-hour window starts when the Drop is activated, not when you pay, so matching time never shortens your conversations.

Modes. Drops come in Dating and Friends modes. Friends mode has no romantic framing, and nothing on Flockie offers companionship, friendship or attention as a paid service.

A Drop is not:

  • a purchase of, or access to, any person. People on Flockie are never for sale, and no one is an item, a prize, or a collectible;
  • a payment for anyone’s time, attention, replies, company, a date, a meeting, or any sexual or romantic act (the one exception, a professional meeting at an Event, is described below and is never part of a Drop’s reward pool);
  • a catalog you browse. There is no public directory, no search, and no swiping;
  • a game of chance, a lottery, or a loot box. Introductions come from mutual eligibility and availability, not from odds, and nothing in a Drop is a prize;
  • an investment. Nothing you buy on Flockie has resale value, and you can’t trade, transfer or resell a Drop or a connection.

Mutual eligibility. We only introduce two people when both of them meet each other’s hard preferences (for example mode, gender preferences in Dating mode, and age range) and both are available. We don’t rank people by attractiveness, and we never show a monetary value or score for any person. Among eligible people, who is likelier to be introduced can also depend on internal engagement, reliability and reputation signals (see the Privacy Policy); these are never shown, never make anyone “for sale”, and never override anyone’s preferences or safety.

Pack types. Standard and Premium Packs differ in price and in how many people they introduce. The ✦ Aura Pack introduces people from a more selective pool and is offered only while that pool is large enough; it may not be available to you at any given time, and it guarantees no reply or outcome.

Events. Flockie may run Events for conferences and similar gatherings. You register for an Event with professional details (such as your company, your role, what you’re building and what you’re looking for) and, if you like, the times you’re free. An Event Pack introduces you to other people registered for that Event; there is no public attendee list. Event Packs work like other Drops (a 72-hour conversation and a reward pool the Explorer allocates), at the price the Event shows.

Professional meetings at Events. If an Event offers them, the person who opened an Event Pack may request a 15, 30 or 45-minute professional networking meeting at the Event with one of that pack’s connections who registered as open to meetings, at the price the Event shows. The payment is held in escrow by a smart contract when you request the meeting. The other person may accept or decline; if they decline or don’t answer in time, or either of you cancels before it starts, the payment is refunded in full. It is released to them, less a protocol fee, only after the meeting’s scheduled end plus a window to report a problem; a reported no-show that isn’t contested is refunded. An event meeting is a business conversation at a professional event: it is never payment for a date, companionship, or any romantic, sexual or intimate conduct, it doesn’t exist in Dating or Friends, and asking for or offering anything like that breaks these Terms and our Anti-solicitation Policy.

05No guarantee of replies or outcomes#

Flockie makes introductions. It can’t make anyone reply, keep talking, like you, meet you, or choose to Keep you, and it doesn’t try to. Every participant is free to reply or not, and to end or block a conversation at any time, without any penalty. Silence, a short conversation, a declined extension, or a connection that isn’t mutual are normal outcomes and are not grounds for a refund (see section 11 for when refunds do apply).

06The reward pool#

How it’s funded. When you open a Drop, 95% of the price forms that Drop’s reward pool and 5% is Flockie’s protocol fee (section 10).

How it’s allocated. After the 72-hour window ends, the Explorer decides how to allocate the whole pool among the people introduced in that Drop. Allocations must add up exactly to the pool. Any individual allocation, including zero, is allowed. The Explorer may allocate from the moment the Drop ends until the settlement deadline, 24 hours later. If the Explorer doesn’t allocate by then, a default allocation applies automatically: an equal split among the eligible participants, with any indivisible remainder assigned one unit at a time in reveal order. Participants who were removed for breaking these Terms, or who deleted their account during the Drop, aren’t eligible and receive nothing; their share goes to the others. If no participant is eligible, the pool returns to the Explorer.

What the reward pool is — and isn’t. The reward pool is a discretionary participation reward for taking part in a timed social-discovery experience. It is decided after the experience, by the Explorer alone. It is never payment or consideration for:

  • replying, chatting, or spending time with anyone;
  • going on a date, meeting in person, or agreeing to meet;
  • any sexual, intimate or romantic conduct, content, or image;
  • anything that happens off the platform.

No one may ask for, demand, negotiate, or promise any allocation, and no one may make a conversation, a meeting, or anything else conditional on money. Doing so breaks our Anti-solicitation Policy and leads to removal. Participants don’t see allocations while a Drop is running.

Participants are not employees. Receiving an allocation doesn’t make you an employee, contractor, agent, or service provider of Flockie or of any Explorer, and nothing on Flockie is a job or a gig. You are responsible for any taxes that apply to amounts you receive tax reporting and withholding treatment (to be confirmed).

07Extending a conversation#

If extensions are available in your region, an Explorer may ask to extend a conversation by 12 hours for USD 5 equivalent. Extensions work like this:

  • The other person must accept. They can accept or decline freely, and declining has no consequence. If they decline, don’t answer within 12 hours, or the conversation ends first, the payment is returned in full.
  • One request can be pending per conversation at a time, a conversation can be extended at most three times, and a new request can’t be made in the last hour of a conversation.
  • On acceptance, 5% is Flockie’s fee and the rest is treated as a participation reward under the payout policy shown when the request was made: either credited to the person who accepted, or added to that Drop’s reward pool. We may change this policy for future requests; a request already made keeps the policy it was made under.
  • An extension is more time to talk, nothing more. It is never payment for anyone’s time or conduct, and it has no bearing on Keeps or reward allocation.

We may pause or remove extensions at any time, in any region, without affecting extensions already accepted.

08Keep One and mutual unlock#

Each person gets exactly one Keep per Drop — Premium gives you more people to meet, not more Keeps. A Keep is a private signal that says “I’d like to continue this conversation after the Drop”.

  • You can set or switch your Keep until 1 hour before that conversation ends (extensions move this time). After that your Keep is locked.
  • Your Keep is secret. We never tell anyone that you kept them, or that you didn’t, unless you both kept each other. This applies to the app, notifications, our API, timing, and every other signal we control.
  • Results are revealed together at the end. If you both kept each other (“Mutual Keep”), the conversation becomes permanent at no extra cost and the timer disappears. Otherwise both people see the same message: “This connection has ended.”
  • A Keep is independent of the reward pool and of extensions. Keeping someone never earns or costs money.

A permanent conversation stays subject to these Terms, and either person can still block or report the other at any time.

09Payments, on-chain settlement and your wallet#

Currency and network. Prices are in US dollars and paid in USDC, a US-dollar stablecoin issued by Circle, on the Base network. You need USDC on Base in your Flockie wallet to open a Drop or request an extension. USDC sent on another network, or any other token, may not be recoverable.

Your wallet. When you join, Privy creates an embedded wallet for you. It is self-custodial: it is secured by Privy’s key-management infrastructure and controlled by you through your login. Flockie never holds your private key and can’t move your funds. Privy’s own terms and privacy policy apply to the wallet.

Escrow and settlement. Drop payments are held by a smart contract (the “escrow”), not by Flockie. The escrow enforces the rules in these Terms: the fee and reward pool always add up to the price, payouts go only to that Drop’s participants, a Drop settles once, and funds are never held indefinitely. You authorise payments and settlements by signing them with your wallet. Flockie relays signed transactions and pays the network (“gas”) fees, so you don’t need any other token. Flockie’s own operational role can only activate a Drop, return money to the person who paid it, or exclude a participant who was removed for a safety reason. It can’t redirect funds to itself or to anyone else.

Blockchain facts you should know.

  • Transactions are public and permanent. Anyone can see, on the Base network, the wallet addresses, amounts and random identifiers involved in a payment or settlement. We never put your name, X handle, profile, preferences or messages on-chain. Someone who already knows your wallet address could still link it to your activity.
  • Transactions can’t be reversed once confirmed. Refunds happen only as described in section 11.
  • If a payout can’t be delivered, for example because an address is blocked by the token issuer, the amount is held for that address in the escrow and can be claimed later.
  • Smart contracts, blockchains, stablecoins and wallet providers carry technical and regulatory risks outside our control, including network congestion, outages, and changes by the stablecoin issuer.

We are not a bank. Flockie is not a bank, exchange, money transmitter, or custodian, and your wallet balance is not a deposit.

Network (gas) fees for Flockie-relayed transactions are paid by Flockie. Prices may change for future purchases; a change never affects a Drop or extension you’ve already paid for.

11Refunds and failures#

Because the reward pool is committed the moment a Drop is activated, most payments can’t be refunded after activation. The platform refunds automatically in these cases:

SituationWhat happens
Not enough eligible people for your DropWe check before you pay and won’t sell a Drop we can’t fill. If a shortage still happens after payment, the Drop is never partially filled: you get a full refund, fee included.

If you are removed for breaking these Terms during your Drop, or you delete your account during it, your conversations close and the reward pool is paid to your participants under the default allocation; it isn’t refunded to you.

Nothing in this section limits any refund right you have under mandatory consumer law.

12Your content#

You own your content. Your profile, photos and messages remain yours. You give Flockie a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt (for example resizing photos and removing their location data) and display your content, only as needed to run, secure and improve the platform and to enforce these Terms. This licence ends when your content is deleted, except for copies we must keep for the reasons explained in the Privacy Policy.

Who sees it. Your connection card (display name, age, city, approved photos, bio, interests and X handle) is shown only to people you’re introduced to in a Drop. There is no public profile. Your messages are visible to the other person in the conversation and, when a conversation is reported, to trained moderators reviewing it.

Your promises about content. You confirm that you have the rights to everything you upload, that photos show you and not someone else, and that your content follows the Community Standards. Photos are reviewed before anyone else sees them. We may refuse, hold or remove any content that we reasonably believe breaks these Terms.

13Community Standards and Anti-solicitation Policy#

Our Community Standards explain how everyone is expected to treat each other. Our Anti-solicitation Policy explains why money on Flockie is never consideration for sexual or romantic conduct and what that means in practice. Both are part of these Terms. Breaking them is a breach of these Terms.

14Things you must not do#

Don’t use Flockie to:

  • offer, request, advertise or arrange any sexual service, escorting, prostitution, “sugar” arrangement, or any exchange of money, tokens or gifts for a date, a meeting, company, or sexual or intimate conduct (a professional meeting at an Event, booked and paid through Flockie as section 4 describes, is the only paid meeting allowed, and only for professional networking);
  • ask for, negotiate, or condition anything on a reward allocation, an extension, or any payment on or off the platform;
  • share payment addresses, handles or links to solicit anything;
  • harass, threaten, stalk, intimidate, demean, or discriminate against anyone;
  • share sexual or explicit content, or anyone’s intimate images without their consent;
  • involve, depict, or sexualise anyone under 18 in any way;
  • traffic, coerce or exploit anyone;
  • impersonate anyone, misrepresent your age or identity, or use photos that aren’t of you;
  • scam, defraud, phish, spam, or promote anything commercially;
  • create more than one account, share your account, or come back after being banned;
  • collude with other accounts, self-match, or manipulate Drops, allocations, extensions or Keeps;
  • scrape, harvest, or collect other people’s data, or reverse-engineer, overload, probe or bypass the platform’s security, rate limits, age gate, moderation or payment rules;
  • use Flockie for anything illegal, or in a way that infringes anyone’s rights.

15Safety#

Flockie does not run criminal background checks or identity checks on members, and “X connected” is not verification. We screen messages for solicitation and other serious harms, review photos and reports, and act on what we find, but we can’t guarantee anyone’s conduct on or off the platform. If you decide to meet someone, meet in a public place, tell a friend where you’ll be, and arrange your own transport. If you’re in danger, contact your local emergency services first. Then tell us, from the Safety center or at hello@findflockie.com.

Reporting and blocking are always free, always available (including while a conversation is running), and take effect immediately. You never have to pay to leave a conversation.

16Moderation, suspension, termination and appeals#

What we may do. If we reasonably believe you’ve broken these Terms, or that your account puts others at risk, we may hold or remove content, warn you, pause your messaging or your ability to open or join Drops, suspend your account, or ban it permanently. For the most serious concerns (for example a suspected minor, trafficking, coercion, or a credible threat) we pause the account first and review it straight after. How we grade and handle reports is described in the Community Standards.

Money during enforcement. Enforcement never lets anyone keep what they shouldn’t or lose what isn’t theirs:

  • a participant who is removed during a Drop is excluded from its allocation, and their share goes to the other participants;
  • an Explorer who is removed during a Drop can no longer allocate, so the default allocation pays the participants at the settlement deadline; the Explorer isn’t refunded;
  • funds already in your own wallet stay yours; enforcement never moves them.

Appeals. You’ll see a notice in the Safety center for every action on your account, with the reason. You can appeal each action once, within 30 days, from that notice. Wherever possible, a moderator who didn’t take the original decision reviews it. If the action is overturned, it’s reversed. Appeals are free and remain available while your account is restricted.

Ending the agreement. You can stop using Flockie and delete your account at any time (section 17). We may end these Terms with you, or stop offering Flockie in your region, with reasonable notice unless there’s a safety, legal or security reason not to. Sections that by their nature should survive (for example 6, 9, 11, 12 and 20 to 25) survive termination.

17Deleting your account#

You can delete your account at any time from your profile. Deletion signs you out everywhere, removes you from matching, deletes your profile, photos and preferences, and closes your conversations. If you’re a participant in an active Drop, you’re excluded from its allocation. If you’re the Explorer of an active Drop, your participants are paid by the default allocation. What we keep after deletion, and for how long, is explained in the Privacy Policy. On-chain records can’t be deleted by anyone.

18Third-party services#

Flockie relies on third parties, including X (sign-in and profile basics), Privy (authentication and your embedded wallet), Stream (conversations), Circle (USDC), the Base network (settlement) and Cloudflare (hosting and security). Their services are governed by their own terms. We aren’t responsible for them, but we choose them carefully and describe how they handle your data in the Privacy Policy.

19Flockie’s intellectual property#

The Flockie name, logo, designs, software and content (other than members’ content) belong to Flockie or its licensors. We give you a personal, revocable, non-transferable licence to use the platform as these Terms allow. Don’t copy, modify, distribute or build on it, or use our brand, without our written permission. If you send us feedback, we may use it freely.

Promoting Flockie. Nobody may market Flockie as a way to make money from conversations, to pay for attention, dates or company, or as a “paid dating” or “companionship” platform. We may remove accounts that do.

20Disclaimers#

Flockie is provided “as is” and “as available”. To the fullest extent the law allows, we make no promise that the platform will be uninterrupted or error-free, that you’ll meet anyone in particular, receive any reply or allocation, or achieve any social or romantic outcome, or about the conduct of any member on or off the platform. We don’t control, and aren’t responsible for, blockchains, stablecoins, wallets, or other third-party services. Nothing in these Terms excludes any guarantee or right that can’t be excluded under the law where you live. Scope of disclaimers (to be confirmed)

21Limitation of liability#

To the extent permitted by law, Flockie is not liable for indirect or consequential losses, or for the conduct of any member; Flockie’s total liability to you is capped at the greater of the amounts you paid to Flockie as protocol fees in the 12 months before the claim and USD 100; nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that can’t be limited by law.

22Indemnity#

You agree to cover Flockie’s reasonable losses arising from your breach of these Terms or your violation of the law or of someone else’s rights, to the extent permitted by law and not where Flockie caused the loss.

23Governing law and disputes#

These Terms are governed by the laws of . Before starting any formal claim, please contact hello@findflockie.com so we can try to resolve it informally within 60 days. Forum, arbitration, class-action waiver and small-claims carve-outs (to be confirmed) If you live in a country whose consumer laws give you the right to bring claims in your local courts, or to rely on local mandatory law, nothing in these Terms takes that right away.

24Changes to these Terms#

We may update these Terms as Flockie evolves or the law changes. Each version has a date at the top of this page. When we make a material change, we’ll tell you in the app before it takes effect and ask you to accept the new version; if you don’t, you can delete your account. Changes never apply retroactively to a Drop or extension you’ve already paid for.

25General#

These Terms, together with the documents they refer to, are the whole agreement between you and Flockie about the platform. If any part is found unenforceable, the rest stays in effect. If we don’t enforce a right straight away, we haven’t waived it. You may not transfer your rights under these Terms; we may transfer ours to a successor that takes over the platform and keeps your protections under these Terms. Language, notices and consumer-protection boilerplate (to be confirmed)
